In the last few years company law has burgeoned to the point where it is on arcane mystery accessible to only a few initiates. The length and complexity of the Companies Act makes it one of the most difficult pieces of legislation in the statute book. Yet on understanding of company law is fundamental to many aspects of business and is necessary not only for lawyers but also for other professionals like accountants and company secretaries.
Traditionally, Singapore students have depended upon English and Australian textbooks. This is not a wholly satisfactory situation, since the law in England and Australia differs significantly in many respects from Singapore law. The problem has been exacerbated in recent years by two major amendment Acts in 1984 and 1987. Moreover, English and Australian textbooks seldom, if ever, discuss case law from Singapore.
It is to fill this gap in local legal literature that this book was written. It is primarily a teaching tool, to be used in conjunction with a course on company law. However, it is hoped that sufficient detail has been given to make it useful to the professional who has to have some knowledge of company law. For the convenience of Malaysian readers, the equivalent sections of the Malaysian Companies Act have been noted in the footnotes to the fext; it is hoped that in this way Malaysian readers may also find the text useful, given the great similarity between the laws of Singopore and Malaysia.
